PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING DIGISKILLSHUB.AI YOU AGREE TO BE BOUND BY THEM.


1. Definitions

“Platform” means the website, mobile applications and related services operated by DigiSkillsHub.ai Ltd (“DigiSkillsHub”, “we”, “us”, “our”).
“Services” means our digital learning courses, AI‑powered tools, content marketplace, community forums and any other offering provided through the Platform.
“User” or “you” means any visitor, registered learner, instructor, organisation or other party accessing the Platform.


2. Acceptance of Terms

By using the Platform you enter into a binding agreement with DigiSkillsHub governed by these Terms and all policies referenced herein, including our Privacy & Cookie Notice. UK and UAE consumer laws grant you statutory rights that cannot be excluded; nothing in these Terms affects those rights.


3. Eligibility

You must be (a) at least 18 years old (or the age of legal capacity in your jurisdiction) and (b) legally capable of entering a contract. Where you register on behalf of an organisation you confirm you are authorised to bind that organisation.


4. Registration & Account Security

4.1 Provide accurate, current and complete information and keep it updated.
4.2 Keep your login credentials confidential. You are responsible for all activity under your account.
4.3 We may suspend or terminate accounts that breach these Terms or applicable law.


5. Pricing, Payment & Renewals

5.1 Transparent pricing — In compliance with the UK Digital Markets, Competition and Consumer Act 2024 and UAE Federal Law No. 15 of 2020 on Consumer Protection, all unavoidable charges (e.g. booking, payment‑processing or installation fees) are included in the headline price you see before purchase. We do not use “drip” pricing or fake reviews.

5.2 Currency & VAT — Fees are displayed in pound sterling (GBP) for UK‑based users or UAE dirham (AED) for UAE‑based users and are inclusive of VAT where applicable.

5.3 Cooling‑off rights
  a) UK consumers — Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 you have 14 days to cancel digital‑content purchases unless you expressly waive that right for immediate access.
  b) UAE consumers — You have any refund or cancellation rights mandated by Federal Law No. 15 of 2020 and any Emirate‑level regulations.

5.4 Subscriptions renew automatically at the then‑current rate unless you cancel via account settings at least 24 hours before renewal.


6. Permitted Use & Prohibited Conduct

You agree to use the Platform lawfully and for its intended educational purpose only. You must not:

  • infringe any intellectual‑property or privacy rights;

  • upload unlawful, defamatory, discriminatory, hateful or pornographic material;

  • introduce viruses, malware or other malicious code;

  • use automated means to scrape, copy or resell the Services;

  • post, solicit or disseminate fake reviews;

  • violate applicable export‑control, sanctions or data‑protection laws.


7. Intellectual Property

7.1 The Platform and all content we supply (including our AI models, code, graphics and trademarks) are protected by copyright, trademark and database‑right laws worldwide.
7.2 You retain ownership of user‑generated content ("UGC"). By uploading UGC, you grant DigiSkillsHub a worldwide, non‑exclusive, royalty‑free licence to host, copy, adapt (for technical purposes), publicly display and distribute your UGC solely to provide the Services.
7.3 You may not use our trademarks without prior written permission.


8. Disclaimer of Warranties

The Services are provided "as is" and "as available". To the fullest extent permitted by English and UAE law, we disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose. Mandatory consumer protections (such as sections 9‑11 of the UK Consumer Rights Act 2015) continue to apply.


9. Limitation of Liability

9.1 We do not exclude or limit liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited under the laws of England & Wales or the UAE.
9.2 Subject to clause 9.1, DigiSkillsHub and its affiliates will not be liable for:

  • business losses (including loss of profit, revenue, goodwill or opportunity);

  • indirect or consequential loss; or

  • loss or corruption of data— except where such loss is caused by a breach of a non‑excludable statutory duty. 9.3 Our aggregate liability arising out of or in connection with the Services will not exceed the greater of (i) GBP 50 or (ii) the total amount you paid us in the 12 months preceding the event giving rise to the claim, unless mandatory law requires a higher amount.


10. Indemnity

You agree to indemnify DigiSkillsHub against all claims, damages, costs and expenses arising from your breach of these Terms, your UGC or your misuse of the Platform.


11. Governing Law & Dispute Resolution

  • UK residents/users — These Terms and any dispute are governed by the laws of England & Wales; the courts of England & Wales have exclusive jurisdiction. You may also use the UK Online Dispute Resolution (ODR) platform.

  • UAE residents/users (outside DIFC/ADGM) — These Terms are governed by the federal laws of the UAE; disputes fall under the non‑exclusive jurisdiction of the Dubai Courts. Nothing limits your statutory right to bring proceedings in your local courts under mandatory consumer law.


12. Privacy & Cookies

Our Privacy & Cookie Notice explains what personal data we collect, how we use it, the lawful bases (including UK GDPR and UAE data‑protection principles) and your rights. By using the Platform you consent to our data practices.


13. Changes to These Terms

We may amend these Terms to reflect (for example) legal changes such as the UK Digital Markets, Competition and Consumer Act 2024 or UAE Federal Decree‑Law No. 46 of 2021 on Electronic Transactions and Trust Services. We will post the revised version and, for material changes, provide at least 14 days’ notice via email or the Platform. Continued use after the effective date constitutes acceptance.


14. Termination

We may suspend or terminate your access if you materially breach these Terms. You can close your account at any time via settings. Clauses intended to survive termination (including 7, 8, 9 and 10) do so.


15. Force Majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control (including acts of God, war, cyber‑attacks, strikes, utility failures or changes in law).


16. Severability

If any provision is held invalid or unenforceable, that provision will be severed and the remainder of the Terms will remain in effect.


17. Entire Agreement

These Terms, together with any documents expressly incorporated by reference (Privacy & Cookie Notice, Acceptable Use Policy, Subscription Terms), constitute the entire agreement between you and DigiSkillsHub and supersede prior agreements.


18. Waiver

No waiver by DigiSkillsHub of any breach or default is effective unless in writing and signed by us.


19. Assignment

We may assign or transfer our rights and obligations under these Terms to an affiliate or successor in connection with a merger, acquisition or sale of assets. You may not assign without our consent.
